Terms & Conditions

These terms set out the basis on which Saltgrove provides consulting services. They apply to all engagements unless a separate written agreement has been signed by both parties.

§ 1

Parties to These Terms

These terms apply between Saltgrove ("we", "us", "the consultant") and the organisation or individual who engages our services ("you", "the client"). "Services" refers to any consulting engagement described in a proposal, scope document, or written agreement issued by Saltgrove.

By accepting a proposal or making payment for a Saltgrove engagement, you confirm that you have read and agree to these terms. If you are accepting on behalf of an organisation, you confirm that you have the authority to do so.

§ 2

Scope of Services

The specific scope of each engagement is described in the proposal or service document provided to you before work begins. Saltgrove will carry out the work described in that document and no additional work will be undertaken without a separate written agreement.

Our three standard service packages are:

    Cross-Functional Coordination Review

    A two to three-week review resulting in a written observations report. ฿9,800.

  • 02

    Stakeholder Mapping Engagement

    One to two working sessions plus a visual map and narrative document. ฿14,300.

  • 03

    Annual Planning Facilitation

    Multi-day facilitation including preparation, working sessions, and a planning summary. ฿31,200.

Any changes to scope requested after an engagement has begun will be discussed with you and, where appropriate, reflected in a revised proposal.

§ 3

Fees and Payment

Fees for each engagement are stated in the proposal. All fees are quoted in Thai Baht (฿) and are exclusive of any applicable taxes unless otherwise stated. Clients are responsible for any withholding tax obligations under Thai law.

Payment terms are set out in the proposal. Standard terms require a deposit of 50% prior to the commencement of work, with the remaining 50% due upon delivery of the final report or agreed deliverable.

Invoices are issued in Thai Baht by bank transfer to the account details provided on the invoice. Where payment is overdue by more than 14 calendar days, Saltgrove reserves the right to pause work until the outstanding balance is settled.

§ 4

Client Responsibilities

Our work depends on the cooperation and input of your team. You agree to make available the people, documents, and information that we identify as necessary for the engagement, within agreed timeframes.

You agree that the information you provide is accurate to the best of your knowledge. Saltgrove relies on the information provided to carry out the engagement; we are not responsible for outcomes that arise from incomplete or inaccurate information shared with us.

Where an engagement requires access to your premises or systems, you are responsible for ensuring that appropriate permissions and arrangements are in place.

§ 5

Deliverables and Intellectual Property

Upon receipt of full payment, Saltgrove grants you a non-exclusive licence to use the reports, maps, and documents produced as part of your engagement for your internal organisational purposes.

Saltgrove retains ownership of the underlying methodologies, frameworks, and working materials used in preparing deliverables. You may not resell or distribute deliverables to third parties without our written consent.

Where you provide us with documents, data, or other materials for the purposes of the engagement, you retain ownership of those materials. You grant Saltgrove a licence to use them solely for the purposes of carrying out the agreed work.

§ 6

Confidentiality

Saltgrove understands that clients share sensitive organisational information as part of consulting engagements. We treat all client information as confidential and will not disclose it to third parties except where required by law or with your written permission.

We may refer to the existence of an engagement (for example, in a general description of our work) without disclosing the content of your work or identifying your organisation, unless you have asked us not to do even that.

These confidentiality obligations continue after an engagement ends, without time limit, for information that you have marked or described as confidential or that is clearly of a sensitive nature.

§ 7

Limitation of Liability

Saltgrove's services are consulting and facilitation in nature. Our reports, maps, and planning summaries contain observations, suggested practices, and facilitated outputs — they are tools to support your decision-making, not instructions or prescriptions.

To the extent permitted by Thai law, Saltgrove's total liability to you in respect of any engagement shall not exceed the total fees paid for that engagement.

We are not liable for indirect, consequential, or special loss, including loss of profits, revenue, contracts, or anticipated savings, whether arising in contract, negligence, or otherwise.

§ 8

Cancellation and Postponement

If you wish to cancel an engagement after work has begun, please contact us in writing. The deposit is non-refundable. Where work has progressed beyond the preparation phase, fees will be due in proportion to the work completed.

Where you need to postpone a scheduled working session, we ask for at least five business days' notice so that we can adjust our schedule. Sessions cancelled with less notice may be charged at the standard day rate.

Saltgrove may cancel an engagement in the event of circumstances beyond our reasonable control, such as serious illness. In such cases, we will inform you promptly and refund any fees paid for work not yet carried out.

§ 9

Governing Law

These terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from or connected with these terms or an engagement shall be subject to the non-exclusive jurisdiction of the Thai courts.

§ 10

Changes to These Terms

We may update these terms from time to time. The current version is always available on this page with a "Last updated" date. Changes take effect for engagements that begin after the updated version is published.
